In plain English. Beri is bookkeeping software, not an accountant or a financial adviser. You review and approve what the software produces, and you stay responsible for your own tax and HMRC obligations. If something goes wrong, our liability is limited (see section 12), and you agree to cover us for claims that come from how you use the Service (see section 13). You keep your data, and you have a 14 day cooling-off period if you are a consumer.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Beri software platform and related services ("Service"), provided by Beri Limited, a company incorporated in England and Wales ("Beri", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The service

Beri provides financial management software that helps sole traders, small businesses and content creators organise their records, generate journal entries, create invoices and understand their financial position. The Service is not a substitute for professional accounting, tax or financial advice (see section 9). Beri uses artificial intelligence to generate journal entries, categorise transactions and produce commentary, all of which require your review and approval (see section 10). Beri's Making Tax Digital features are designed to support your obligations, but those obligations remain yours, and we do not guarantee that using the Service will ensure your compliance with HMRC requirements.

3. Account registration

You must be at least 18 years old and using the Service in connection with a legitimate business or self-employment activity. You are responsible for keeping your login credentials secure and for all activity under your account. One account may be used per legal business entity. Tell us promptly at hello@berified.app if you suspect any unauthorised use.

4. Subscriptions and payment

Beri is offered on the Basic, Standard and Premium plans, billed monthly or annually. The plan, price and any free-trial or introductory terms are shown to you before you subscribe, and prices exclude VAT unless stated.

14 day cooling-off period. If you are a consumer (not purchasing in the course of a business), you may cancel within 14 days of your initial purchase without giving a reason, by contacting hello@berified.app. If you asked us to start the Service during that period, we may charge a proportionate amount for what you have used.

Auto-renewal. Subscriptions renew automatically at the end of each billing period. We give you advance notice before an annual subscription renews, and you can turn off auto-renewal at any time in your account settings.

Price changes. We will give you at least 30 days' notice of any price increase. Continued use after it takes effect is acceptance. Refunds. Except for the cooling-off period above, fees are non-refundable and we do not provide pro-rata refunds for mid-period cancellations, except where you have a statutory right to a refund. Payments are processed by Stripe; your card details are held by Stripe, not by Beri.

5. Your responsibilities

You are responsible for the accuracy of the data you enter, for reviewing and approving all AI-generated entries, categorisations and commentary before treating them as final, for not using the Service as a substitute for professional advice, and for your own compliance with HMRC requirements, tax filings and record-keeping. You must also comply with the Acceptable Use terms in section 6.

6. Acceptable use

You must not use the Service to: (a) process transactions for illegal activity or to facilitate money laundering; (b) commit or facilitate tax fraud (as distinct from legitimate tax planning); (c) process the financial data of third parties without their consent; (d) reverse-engineer, scrape or copy Beri's software or AI models; (e) share your credentials with unauthorised users; (f) upload malicious code or attempt to compromise the security of the Service; or (g) use the Service in any way that breaks applicable law. We may suspend or restrict accounts that breach this section.

7. Intellectual property

All intellectual property rights in the Service, including the software, design, AI models and content, belong to Beri or its licensors. You keep ownership of the financial data and business information you enter. You grant Beri a limited, non-exclusive licence to process your data solely to provide the Service to you.

8. Your data and data protection

We process personal data in line with our Privacy Notice and the UK GDPR. Beri is the data controller for your account information and acts as a data processor for the business financial data we process on your behalf. Where we use processors outside the UK, including AI providers in the USA, those transfers are protected by appropriate safeguards such as Standard Contractual Clauses. You retain ownership of your data, and we recommend you keep your own backups. See our Privacy Notice for full detail.

9. Financial advice disclaimer

Beri is not a regulated financial adviser, accountant or tax adviser. Nothing in the Service is financial, tax, investment, legal or accounting advice. All outputs, including journal entries, statements, estimates, ratios, commentary and explanations, are for informational and organisational purposes only. Always consult a qualified, regulated professional for advice specific to your circumstances. Beri accepts no liability for any HMRC penalty, tax liability, financial loss or other consequence arising from your reliance on the Service without independent professional verification.

10. Artificial intelligence features

Beri uses artificial intelligence to generate journal entries, categorise transactions and produce commentary. AI systems can make mistakes. All AI-generated content is presented for your review, and you are responsible for approving, editing or rejecting it before it is incorporated into your records. Beri accepts no liability for errors in AI-generated content that you have approved without independent verification.

11. Warranties and disclaimer

We provide the Service with reasonable care and skill. To the fullest extent permitted by law, and except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we exclude all other warranties, conditions and terms, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.

12. Limitation of liability

Our liability to you in connection with the Service or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited as set out in this section.

We are not liable for any: (a) loss of profits; (b) loss of revenue or business; (c) loss of goodwill, customers or anticipated savings; (d) tax penalties, interest or surcharges imposed by HMRC or any other authority; (e) legal, tax or accounting compliance issues; (f) damage to reputation; or (g) any indirect, special, incidental, punitive or consequential loss, howsoever arising, even if we were advised of the possibility.

For any loss or corruption of your data, our liability is limited to taking reasonable steps to recover that data from our available backups. Our total aggregate liability to you in any circumstances is limited to the total subscription fees you paid us in the 12 months immediately before the event giving rise to the claim.

What we never exclude. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under applicable law. Nothing in these Terms affects your statutory rights as a consumer, including your right to services carried out with reasonable care and skill.

13. Indemnity

You agree to indemnify and hold harmless Beri, its directors, employees, contractors and agents against all losses, costs (including reasonable legal costs), expenses, demands and liabilities that we incur arising out of, or in connection with, any third-party claim relating to your use of the Service, your data, or your breach of these Terms, except to the extent the claim arises from Beri's own breach of these Terms, gross negligence, wilful misconduct or fraud.

14. Events outside our control

We are not liable for any failure or delay in performing our obligations that is caused by an event or circumstance beyond our reasonable control, including failures of third-party networks, hosting or banking providers, power or internet outages, strikes, or acts of government.

15. Termination

You may cancel your subscription at any time, and access continues until the end of your current billing period. We may suspend or terminate your account on 30 days' notice, or immediately if you materially breach these Terms. On termination you have 30 days to export your data, after which it will be deleted subject to our legal retention obligations set out in the Privacy Notice.

16. Changes to these terms

We may update these Terms from time to time. For material changes we will give you at least 30 days' notice. Continued use of the Service after the changes take effect is acceptance of the updated Terms.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any different statutory rights you may have as a consumer.
